Terms of Service

KoolFyx operates as a technology marketplace that connects Homeowners seeking HVAC services with independent Contractors who provide those services. KoolFyx is not itself an HVAC service provider and does not employ Contractors or Technicians. The Platform facilitates introductions and transactions between independent parties.

• Verifies that Contractors hold the certifications and licences they claim to hold at the time of registration
• Routes Jobs to Contractors based on certification match, geographic zone, and CSS Trust Score ranking
• Provides a 90-second dispatch window for Contractors to accept or decline Jobs
• Facilitates payment of the $35 Diagnostic Fee from Homeowners to Contractors via Stripe
• Calculates and displays the CSS Trust Score based on objective performance metrics
• Provides a dispute resolution process for complaints between Homeowners and Contractors

• Does not guarantee the quality, safety, or outcome of any HVAC repair or service
• Does not employ or supervise Contractors or Technicians
• Does not warrant that any repair will resolve a homeowner's HVAC problem
• Does not guarantee availability of a Contractor at any particular time
• Does not set pricing for repair services beyond the flat $35 Diagnostic Fee

• You must be at least 18 years of age
• You must be a legal resident or entity authorised to operate in the United States
• Contractors must hold all required certifications and licences applicable to the services they intend to provide
• You must have the legal capacity to enter into binding contracts
• You must not have been previously suspended or terminated from the KoolFyx Platform

KoolFyx provides estimated price ranges for HVAC repairs based on historical data, equipment brand, and reported symptom. These estimates are for informational purposes only and are NOT binding quotes. Actual service costs may vary. The Contractor is solely responsible for determining and communicating final pricing before commencing work beyond the diagnostic assessment.

You agree to: (a) provide a safe working environment for Contractors and Technicians; (b) accurately describe the HVAC issue; (c) be present or ensure an authorised adult is present during the service window; (d) treat Contractors and Technicians with respect; and (e) pay any additional repair costs agreed upon with the Contractor directly.

After job completion you may submit a 1-5 star rating of the Contractor. Ratings must be based on your genuine experience. Submitting false, fraudulent, malicious, or defamatory ratings is prohibited and may result in account suspension.

You are an independent contractor, not an employee, agent, joint venturer, or partner of KoolFyx. You retain full control over the manner and means of performing HVAC services. You are solely responsible for all taxes, insurance, workers' compensation, equipment, tools, and all other obligations arising from your business operations. Nothing in these Terms creates an employment relationship between you and KoolFyx.

• Your company holds a valid, current AZ ROC licence (C-39 or R-39) covering all HVAC services performed through the Platform
• All certifications registered on the Platform (FAD, TCS, NATE) are current, valid, and accurately represent your company's standing with the issuing authority
• At least one employed or affiliated Technician holds a valid EPA Section 608 certification before any job involving refrigerant handling is accepted
• You will notify KoolFyx at legal@koolfyx.com within 48 hours if any certification expires, is revoked, is suspended, or is otherwise invalidated

Upon completion of each Job, KoolFyx will initiate transfer of the Job amount less KoolFyx's platform commission (currently 10%) to your registered Stripe Connect account. Payouts are subject to Stripe's standard transfer timelines, typically 2 business days. KoolFyx is not responsible for delays caused by Stripe or banking systems.

When a Job is dispatched to you, you have 90 seconds to accept or decline. Repeated failure to respond to dispatches, excessive decline rates, or failure to appear after accepting a Job may result in reduced dispatch priority, suspension, or termination.

You are solely responsible for maintaining adequate insurance coverage for your HVAC business operations including general liability insurance, workers' compensation insurance, commercial vehicle insurance, and any other insurance required by applicable law. KoolFyx does not provide any insurance coverage for Contractors, Technicians, or services performed through the Platform.

• Technicians must be legally authorised to work in the United States
• Technicians who handle refrigerant must personally hold a valid EPA Section 608 certification
• NATE certifications held by Technicians are personal credentials that remain with the individual Technician and are not transferred to any Contractor company upon departure
• Technicians are responsible for maintaining accurate availability status in the app
• GPS data broadcast from a Technician's device during an active Job is collected as described in the Privacy Policy
• Technicians are employees or subcontractors of their respective Contractor company, not of KoolFyx

KoolFyx makes no representation or warranty regarding the number of Jobs that will be dispatched to any Contractor. Registration as a Contractor does not guarantee receipt of any Jobs.

All payments are processed by Stripe, Inc. By using our payment features, you agree to Stripe's Terms of Service at stripe.com/legal. For any additional repair services beyond the Diagnostic Fee, payment arrangements are made directly between Homeowner and Contractor. KoolFyx is not responsible for disputes arising from additional service costs.

Contractors are solely responsible for reporting and paying all applicable federal, state, and local taxes on income earned through the Platform. KoolFyx may be required by law to issue Form 1099 to Contractors whose annual earnings through the Platform exceed applicable IRS thresholds. KoolFyx does not withhold taxes from Contractor payouts.

• Providing false, fraudulent, or misleading information including false certification numbers or licence numbers
• Impersonating any person or entity or falsely claiming an affiliation with any person or entity
• Attempting to circumvent the dispatch system by creating multiple accounts
• Soliciting Homeowners discovered through the Platform to transact business outside the Platform to avoid KoolFyx fees
• Harassing, threatening, or abusing any other Platform user
• Submitting false ratings or reviews
• Using the Platform for any illegal purpose or in violation of any applicable law
• Attempting to access, tamper with, or disrupt any KoolFyx server, database, or system
• Performing HVAC services on the Platform without a current, valid AZ ROC licence
• Handling refrigerants without a valid personal EPA Section 608 certification
• Using automated tools, bots, or scripts to interact with the Platform

The Platform, including all software, content, design, trademarks, logos, and the KoolFyx brand, is owned by KoolFyx LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for its intended purpose.

The KoolFyx name, logo, "KoolFyx," "CSS Trust Score," and related marks are proprietary to KoolFyx LLC. You may not copy, modify, distribute, sell, or sublicense any portion of the Platform without KoolFyx's express written consent.

You agree to defend, indemnify, and hold harmless KoolFyx LLC and its members, managers, officers, employees, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any HVAC services you perform or fail to perform (Contractors and Technicians)
• Any false or misleading information you provide to KoolFyx or to other Platform users
• Any certification or licence you claim to hold that is expired, invalid, or inaccurately represented
• Any property damage, personal injury, or death arising from your HVAC services
• Any dispute between you and another Platform user

Before initiating formal legal proceedings, you agree to first contact KoolFyx at legal@koolfyx.com and attempt to resolve the dispute informally. KoolFyx will attempt resolution within 30 days of receiving notice.

Any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations to the contrary.

KoolFyx may suspend or terminate your account, with or without notice, for any reason including but not limited to: violation of these Terms, expiry or revocation of required certifications, fraudulent activity, non-payment of subscription fees, inappropriate conduct, or if we determine your continued use poses a risk to the safety or integrity of the Platform.

Upon termination: (a) your access to the Platform will be revoked; (b) your CSS Trust Score and dispatch priority will be deactivated; (c) any pending Jobs will be cancelled; (d) Founding Member vesting will be calculated as of the termination date and a final record generated; (e) any outstanding payout obligations will be fulfilled according to standard schedule; and (f) all provisions that by their nature should survive termination shall survive, including Sections TS-11, TS-12, TS-13, and TS-15.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and KoolFyx with respect to the Platform and supersede all prior and contemporaneous agreements.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

KoolFyx's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without KoolFyx's prior written consent. KoolFyx may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.

KoolFyx shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, labour disputes, internet outages, or third-party service failures.

These Terms are governed by the laws of the State of Arizona. Exclusive jurisdiction for any non-arbitrable dispute lies in the state or federal courts of Maricopa County, Arizona.

KoolFyx reserves the right to modify these Terms at any time. Material changes will be communicated via push notification and prominent in-app notice at least 14 days before taking effect. Continued use of the Platform constitutes acceptance.
